AFFILIATE REFERRAL TERMS AND CONDITIONS
The following are the terms and conditions of participating in the Ad Sponsors Affiliate Referral Program. "Affiliate" refers to yourself; "Ad Sponsors" refers to Ad Sponsors, LLC, located at 2601 N.W. Expressway, Oklahoma City, Oklahoma 73112, and "New Sign Ups" refers to any individual or company that may register for an Ad Sponsors account through an Affiliate's referral link
Payments and Commissions
Ad Sponsors will pay the Affiliate a 15% commission of each Ad Sponsors Sale which is identified by a visitor from Affiliate's web site using their unique Affiliate Link. Each Affiliate may signup Sub-Affiliates and receive a commission for each of the Sub-Affiliate's Sales. This commission will be 5% for of each Sub-Affiliate's Sale.
Affiliate commission shall be paid by company check approximately every 30 days, approximately 15 days after the prior period. Ad Sponsors reserves the right to modify the payment schedule as long as notice is posted to the Web site. If commission does not exceed $10 for prior period, Ad Sponsors reserves the right to hold payment until commissions accumulate to $10 or more.
Although the Affiliate Program is not limited to the U.S. all payments will be made in U.S. dollars.
If a qualifying sale is canceled or refunded, the related commission will be deducted from the next monthly payment.
All Affiliates are NOT employees of Ad Sponsors and are responsible for their own local, state, or country taxes.
All Affiliate applications are subject to approval by Ad Sponsors.
Both Ad Sponsors and the Affiliate reserve the right to terminate this agreement at any time. If canceled, outstanding commissions for current period at time of cancellation shall be paid in the next monthly payment so long as rules of this agreement were not violated by the Affiliate.
Affiliate Link
You will be issued an "Affiliate Link", or unique URL, which allows Ad Sponsors to identify visitors from your site as originating from you. These visitors are tracked with this unique URL and sales are recorded with your Affiliate Id. To receive commissions, you must use the provided Affiliate Link. The URL may be in various forms such as a banner, image, or text link.
Ad Sponsors reserves all rights in or to its trademarks and servicemarks, but may be used by Affiliate in accordance with this agreement. The Ad Sponsors trademark may not be used to register internet domain names for any purpose. Affiliate may in no way display an Ad Sponsors logo, image, or trademark which may be distasteful, defame, or misrepresent.
Affiliate is solely responsible for insuring that their Affiliate Link is setup properly to qualify for commissions.
Affiliate may provide one or more links and banners from your site to our site. Ad Sponsors will provide Affiliate with special link formats designed for tracking and reporting for all links between Affiliate’s website and Ad Sponsors website. Affiliate will be solely responsible for properly utilizing the link formats. Ad Sponsors does not accept any responsibility for the incorrect use of the special links / link formats and therefore shall not be accountable for any loss of fees as a result of Affiliate’s errors.
Affiliate agrees to not send unsolicited mail or SPAM mail to promote any of Ad Sponsors products or services. This action WILL RESULT in immediate termination of your account with a cancellation of any pending commissions. Affiliate will also be in violation of the Ad Sponsors Affiliate Agreement and subject to legal action.
Ad Sponsors supplies a "tracking cookie" which is stored on the computer of the individual who initially clicks on an Affiliate's link. However, Ad Sponsors is not responsible should this tracking cookie be deleted or removed from the new sign ups computer prior to registering for an account. Further, Ad Sponsors is not liable or responsible for an alteration or modification to the tracking cookie once placed on the new sign ups computer. ALL TRACKING COOKIES CAN BE DELTED FROM A NEW SIGN UPS COMPUTER PRIOR TO REGISTERING FOR AN ACCOUNT SHOULD THE NEW SIGN UP DELETE THE COOKIE FROM THEIR COMPUTER. IN SUCH EVENT, THE REFERING AFFILIATE WOULD NOT RECEIVE CREDIT FOR ANY FUTURE SALES SHOULD THE NEW MEMBER LATER SIGN UP FOR AN ADSPONSORS ACCOUNT.
Limited License
Affiliate shall not misrepresent Ad Sponsors products or services.
Ad Sponsors grants affiliate a non-exclusive, non-transferable, non-sublicensable, revocable right to use the Ad Sponsors name, logos, and text for which Ad Sponsors grants express permission, solely for the purpose of identifying affiliate’s website as a participant. Affiliate agrees not to engage, participate or otherwise become involved in any activity or course of action that diminishes and/or tarnishes the image and or reputation of Ad Sponsors. We reserve the right to revoke your license at any time.
Prohibited Sites
Sites that promote: sexually explicit material or violence do not qualify as an Affiliate. Sites that promote discrimination based on race, sex, religion, national origin, and physical disability, shall not be accepted. Sites that promote illegal activities shall not be accepted. Do not apply if your site promotes these kinds of activities. By applying, you are stating that your Site does not directly promote or endorse these activities.
Term of Agreement
This agreement remains in effect until cancelled by either party.
Commissions earned through the date of expiration or cancellation of this agreement will remain payable only if the qualifying sales are not cancelled or refunded by the referred Customers. Payment of the final Commission payment to the Affiliate may be withheld for a reasonable time in order to ensure that the correct amount is paid.
Commission
Subject to the terms and conditions of this Agreement, Affiliate will be paid commission for each new sign up referred from Affiliate’s website through the Ad Sponsors link on Affiliate’s website who successfully purchases products on the Ad Sponsors server site using a credit card.
If it is later found that the customer's purchase was refunded, Ad Sponsors retains the right to withhold any payments to Affiliate resulting from that individual's purchases.
The Affiliate Program relies on cookies to track customers. If for whatever reason, the customer isn't using cookies, or the cookie expires or the customer deletes the cookie, they cannot be tracked and you will not earn commission for any sales that customer may make. Our cookies are set to expire after one year.
If at any time the commissions owed to Affiliate become less than the total deductions due to refunds as mentioned above the difference shall be immediately payable to Ad Sponsors.
Commission may not be paid to an affiliate if the details Ad Sponsors hold for that affiliate are not accurate. It is the affiliate's responsibility to make sure that Ad Sponsors is notified of any change in their details such as email or postal address. Ad Sponsors reserves the right to cancel commission payments if it is believed there have been any fraudulent attempts to use the service.
Commission Schedule
Affiliate will earn a referral fee of fifteen percent (15%) on any products sold originating from an official affiliate link to Ad Sponsors on Affiliate’s website, which is payable at the end of each month provided that the commission owed is more than $10 USD.
Disclaimer
Ad Sponsors will make every reasonable effort to track and pay commissions for all sales that apply to Affiliate. However, Ad Sponsors is not responsible for technical problems, acts by third parties, or other events outside our reasonable control which may temporarily disrupt or diminish this service.
Modification
Ad Sponsors may modify any of the terms and conditions contained in this Agreement, at any time and in its sole discretion, by posting a new agreement on its site. Affiliate’s continued participation now, or within thirty (30) days following the posting notice of any changes in these terms and conditions, will constitute a binding acceptance of such rules, changes or modifications. Affiliate’s continued participation following any modifications will constitute a binding acceptance of the change.
Privacy
To protect Ad Sponsors customer privacy, we cannot provide identifying customer names and contact information to you. However, we will provide an online report detailing price, service, date of sale, and perhaps other data for your records.
Independent Contractor
The relationship between Ad Sponsors and Affiliate established by this Agreement is that of independent contractors. Ad Sponsors and Affiliate shall each conduct its respective business at its own initiative, responsibility and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein. Term "Affiliate" shall not be interpreted as a legal partner or affiliate, simply as an independent contractor for Ad Sponsors under this agreement.
Limitation of Damages
Ad Sponsors shall not be held liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program, even if Ad Sponsors has been advised of the possibility of such damages. Ad Sponsors aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commissions paid or payable by Ad Sponsors under this agreement.
Affiliate understands that Affiliate tracking can never be 100% accurate and Ad Sponsors is not responsible for inaccuracies that might occur beyond its control. Tracking of Affiliate sales depend on several factors which are out of the control of Ad Sponsors. It is the goal of Ad Sponsors to make Affiliate tracking as accurate as possible; however, Ad Sponsors cannot guarantee 100% tracking for situations beyond its control.
Warranty Disclaimer
Ad Sponsors makes no warranties expressed or implied with regard to Affiliate Program except as outlined in this agreement.
Governing Law
This agreement shall be governed by the laws of the State of Oklahoma and the United States. Affiliate may not assign this Agreement, by operation of law or otherwise, without the prior written consent of Ad Sponsors. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Ad Sponsors failure to enforce affiliate’s strict performance of any provision of this Agreement will not constitute a waiver of right to subsequently enforce such provision or any other provision of this Agreement.
